1. Purpose and term
This agreement takes effect on April 1, 2023 for an initial term of thirty-six (36) months.
3. Renewal and termination
It renews automatically for successive twelve (12) month periods, unless either party gives ninety (90) days’ notice before the end of the term.
5. Price and adjustment
Annual fee: €184,000 excl. VAT. Adjusted every April 1, capped at 3%.
8. Service levels
Guaranteed availability of 99.9% per month; 10% service credit below that.
11. Liability
The provider’s total liability is capped at the amounts paid over the last twelve (12) months.
13. Data
Data is hosted in France and returned within thirty (30) days after the end of the agreement.

How do we take over an existing contract repository?
By uploading documents in batches, PDF or Word. Naigo identifies the supplier, the type, the amendment number and the period, flags likely duplicates and unreadable scans, links each amendment to its contract, then lets you check before confirming the import. The full clause audit is then launched from each document.
How does Naigo handle amendments?
Each amendment is reread and linked to its contract. A clause it changes keeps its history across documents, and its new value goes back to validation. A value entered by hand is never overwritten.
How is the information sourced?
Every extracted clause carries its source: the section, the page and the document, with a link to the passage. A confidence score shows what deserves a check.
How are deadlines calculated?
From the end date and notice period extracted from the contract: the action date is the end date minus the notice period. The timeline creates the corresponding tasks, and reminders go out by email.
Can we track our own clauses?
Yes, as many as you want, with no development. Each clause is described in plain language: a name and an instruction (“the SLA penalty cap”, “the reversibility clause”…), and the agent looks for it across all your contracts, with its source. Naigo starts from a base of common clauses that you extend or adjust. The playbook, for its part, sets your organization’s mandatory documents and clauses.
Can a human correction be overwritten?
No. A value that was corrected or entered by hand becomes the reference: no later extraction replaces it.
Can we compare several contracts?
Yes, with the multi-contract review: documents in rows, your criteria in columns, every cell sourced, and an Excel export of the grid.
Are my contracts used to train AI?
No. Naigo trains no model on your documents: they are used only for your analyses.
